General Terms and Conditions of Sale

2. Purpose

These General Terms and Conditions govern the contracting of the services offered through the Push & Grow platform.

The platform allows businesses and professionals to create gamified promotional campaigns, manage customer acquisition through QR codes, collect user information, manage prizes and access statistics related to those campaigns.

Contracting implies full acceptance of these terms.

3. Customers

The services are aimed exclusively at:

• Companies.
• Sole traders / freelancers.
• Professionals.
• Associations.
• Legally constituted entities.

The customer declares having sufficient legal capacity to enter into this contract.

4. User registration

To use the platform, an account must be created providing truthful and up-to-date information.

The customer is responsible for:

• Keeping their credentials confidential.
• Safeguarding their password.
• All activity carried out from their account.

5. Subscription plans

Push & Grow offers different subscription plans with different features and usage limits.

Each plan's features are those published at any given time on the platform's pricing page.

The company may modify, extend or update the features of the different plans provided this represents an improvement to the service.

6. Prices

All prices shown on the platform are expressed in euros (€).

Unless expressly stated otherwise, prices include applicable taxes.

The price of each plan is the one published at the time of contracting.

7. Payment method

Subscriptions are paid exclusively by bank card.

We do not accept: bank transfers, PayPal, direct debits, invoiced payment, or other payment methods.

The customer expressly authorizes the periodic charge corresponding to the contracted plan.

8. Automatic renewal

All subscriptions are recurring in nature.

The subscription will automatically renew at the end of each contracted period (monthly or annual, as applicable), using the same payment method.

The customer may cancel automatic renewal at any time from their user panel before the next renewal date.

Cancellation will prevent future charges but will not entitle the customer to a refund for the period already paid.

9. Price updates

Push & Grow may modify subscription prices. In the event of a change:

• The customer will be notified with reasonable advance notice.
• The new price will only apply at the next renewal.
• The customer may cancel the renewal before the next charge is made.

10. Invoicing

An electronic invoice will be issued after each payment. Invoices will be available in the customer's private area and may also be sent by email.

11. Right of withdrawal

When the customer acts as a consumer, they may exercise their right of withdrawal within the legally established period, unless they have expressly requested the immediate start of the service and it has already begun, in which case they will lose that right pursuant to article 103 of Royal Legislative Decree 1/2007 (Spanish Consumer Protection Law).

Where contracting is carried out by companies, sole traders or professionals for the development of their economic activity, the right of withdrawal provided for consumers does not apply.

12. Cancelling the subscription

The customer may cancel their subscription at any time. Cancellation carries no penalty.

Access to the platform will remain available until the end of the period already paid. No partial refunds will be made for unused periods.

13. Service availability

Push & Grow will make all reasonable efforts to ensure the platform's continuous availability.

However, temporary interruptions may occur due to maintenance work, system improvements, technical incidents, or causes beyond the Provider's control.

Such interruptions do not entitle the customer to compensation, unless otherwise provided by law.

14. Permitted use

The customer agrees to use the platform in accordance with applicable law. It is prohibited to use the service for: unlawful activities, sending spam, fraudulent data collection, misleading campaigns, distribution of malware, infringement of third-party rights, or breach of data protection regulations.

15. Data protection

The customer is responsible for the processing of personal data obtained through their campaigns.

Push & Grow will act, where applicable, as data processor in accordance with Regulation (EU) 2016/679 (GDPR) and Spanish Organic Law 3/2018.

Specific conditions are set out in the Privacy Policy and, where applicable, the corresponding Data Processing Agreement.

16. Intellectual property

All rights over the platform, including software, design, source code, interfaces, logos, documentation and other content, belong to NERO TRADING, S.L.

Contracting the service does not involve any transfer of intellectual property rights.

17. Service suspension

Push & Grow may suspend or cancel an account when there are reasonable grounds to believe there is: fraudulent use, breach of these terms, non-payment, use of the platform for unlawful purposes, or a risk to system security.

18. Limitation of liability

Push & Grow provides a technological tool. It does not guarantee any specific number of customers, sales, participants, reviews, revenue or conversions.

Results will depend, among other factors, on the sector, the commercial strategy, the quality of the campaigns, and the customer's use of the platform.

NERO TRADING, S.L. will under no circumstances be liable for indirect losses, loss of profit, loss of business opportunities, or damages arising from use of the platform, except where applicable law provides otherwise.

19. Modification of these terms

Push & Grow may modify these General Terms and Conditions when necessary for legal, technical, commercial reasons, or to improve the service.

Modifications will be published on this page indicating the date of their last update.

20. Applicable law

These General Terms and Conditions are governed by Spanish law.

21. Dispute resolution

In the event of a dispute, the parties will attempt to resolve it amicably.

Where the customer is a consumer, the courts and tribunals with jurisdiction under applicable consumer protection regulations will be competent.

In all other cases, the parties expressly submit to the Courts and Tribunals of Castellón, waiving any other jurisdiction that might apply to them, unless a mandatory rule provides otherwise.
